Terms of Service

Welcome to Kuitan. These Terms of Service ("Terms") govern your access to and use of the Kuitan customer messaging platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Data Deletion Instructions where applicable.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • If you create an account or connect channels on behalf of a business, you represent that you have authority to do so.

3. Customer Data and Privacy Responsibilities

You retain ownership of the messages, contacts, files, and other data you submit or connect to the Service. You grant Kuitan a limited permission to host, store, transmit, process, and display that data only as needed to provide, secure, maintain, and improve the Service.

  • You are responsible for ensuring that you have a lawful basis and any required consent to process your customers' personal data through Kuitan.
  • You are responsible for honoring customer requests, including opt-out, deletion, correction, or access requests where applicable.
  • You must not upload, request, or process sensitive data unless you have a lawful basis and appropriate safeguards.
  • Kuitan may process customer conversation data on your behalf as described in the Privacy Policy.

4. Permitted Use

You may use the Service to:

  • Manage customer conversations across connected messaging platforms (LINE, Facebook Messenger, Instagram DM).
  • Assign conversations to team members for customer support purposes.
  • Send broadcast messages to customers who have opted in to receive communications.
  • Use canned responses and automation features to improve response efficiency.
  • View analytics and reports related to your customer support operations.

5. Prohibited Use

You agree not to:

  • Use the Service to send spam, unsolicited messages, or promotional content that violates platform policies.
  • Violate any applicable laws, regulations, or third-party rights.
  • Send marketing messages without required consent, opt-out handling, or lawful permission.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Use the Service to harass, abuse, or harm others.
  • Upload malware, phishing links, deceptive content, or content that infringes the rights of others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated scripts or bots to access the Service in a manner that exceeds normal usage.
  • Misrepresent your identity or affiliation when communicating with end users.
  • Circumvent message windows, platform limits, review requirements, or other restrictions imposed by connected platforms.

6. Messaging Consent and Platform Compliance

When connecting third-party messaging platforms, you agree to comply with their respective terms, developer policies, message windows, opt-in requirements, and content rules:

By enabling an integration, you authorize Kuitan to access, transmit, and process the minimum platform data needed to provide that integration. You are responsible for maintaining required app permissions, page roles, business asset access, and platform approvals.

We are not responsible for any actions taken by third-party platforms against your account due to violations of their policies.

7. Subscription and Payment

  • Certain features of the Service require a paid subscription plan.
  • Subscription fees are billed according to the plan you select (monthly or annually).
  • All fees are non-refundable unless otherwise stated in your plan agreement.
  • We reserve the right to change pricing with reasonable advance notice.
  • Failure to pay, an expired plan, suspected abuse, or material platform risk may result in suspension or limitation of paid features.
  • If your plan expires, account owners may retain limited access to billing or account settings where supported so they can renew or export information.

8. Data Ownership

  • Your Data: You retain ownership of all data you submit to the Service, including messages, contacts, and files.
  • License to Us: You grant us a limited license to process your data solely to provide and improve the Service.
  • Our Data: We retain ownership of the Service, including all software, design, and documentation.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access.
  • We may perform scheduled maintenance with advance notice when possible.
  • We are not liable for downtime caused by third-party services (e.g., Facebook API outages, LINE server issues).

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kuitan disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free service.

11. Limitation of Liability

To the maximum extent permitted by law, Kuitan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities arising from your use of the Service.

To the maximum extent permitted by law, Kuitan's total aggregate liability for claims related to the Service will not exceed the fees you paid to Kuitan for the Service during the 12 months before the event giving rise to the claim. If you used only a free plan, total liability will not exceed THB 3,000.

12. Indemnification

You agree to defend, indemnify, and hold Kuitan harmless from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your content, your connected channels, your violation of these Terms, your violation of applicable laws, or your violation of third-party platform terms.

13. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your access if you violate these Terms.
  • Upon termination, your right to use the Service ceases immediately.
  • Data deletion will be processed in accordance with our Privacy Policy.

14. Force Majeure

Kuitan is not responsible for delay, failure, or interruption caused by events beyond our reasonable control, including internet outages, cloud provider incidents, platform API changes, natural disasters, government actions, labor disputes, cyberattacks, or other events we could not reasonably prevent.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.
